Bylaws of the
Northwest Historical Association

ARTICLE I - MISSION STATEMENT

SECTION 1 - STATEMENT OF PURPOSE

a. The Northwest Historical Association is a domestic non-profit corporation established for the purpose of promoting awareness and understanding of the Second World War as fought in Europe through the avocation of reenacting.

SECTION 2 - OBJECTIVES OF REENACTING

a. The NWHA believes that the avocation of reenacting has at least three (3) objectives:

1. To inform and educate each participant in and visitor to NWHA events about the Second World War by creating an atmosphere in which mutual dialogue is encouraged;

2. To enable each participant to share, on a personal basis, the experience of the Second World War; and

3. To participate in an activity merely for enjoyment.

b. The NWHA believes that the reasons for reenacting are personal to each reenactor, that no reason holds more importance than any other reason, and that no individual style of reenacting is more valid than any other style.

SECTION 3 - NON-POLITICAL AFFILIATION OF THE NWHA

a. The NWHA is an organization made up of Second World War reenactors who voluntarily participate for the purpose of educating themselves and the public about the history, culture, and the people who lived during the period of the Second World War. The NWHA is not affiliated with any modern political party or organization.

b. The NWHA does not endorse, tolerate, nor condone the politics, views, beliefs, and/or activities of any political party in existence during the period of the Second World War.

SECTION 4 - CONDUCT OF THE NWHA

a. The NWHA shall strive to be the pre-eminent reenacting organization in the country. To that end, the NWHA shall be a leader in the acceptance of all persons who can legally and appropriately portray historical roles within the Unit in which they serve or desire to serve.

b. The NWHA recognizes its obligation to honor the memory of those persons who have served in the active military service of their country, and shall strive to bring no discredit upon them.

SECTION 5 - CONDUCT OF MEMBERS

Members of the NWHA shall conduct themselves in a manner which brings no discredit upon the NWHA. To that end, each Member shall treat with respect both the reasons for reenacting and the reenacting style of other Members.


ARTICLE II - MEMBERSHIP

SECTION 1 - DEFINITION OF MEMBER

a. Members are those persons who have applied for Membership, have met the requirements for Membership, have been accepted for Membership, and have paid in full the required NWHA Annual Membership Dues.

b. The requirements for Membership are provided for in the NWHA Membership Policy.

SECTION 2 - VOTING RIGHTS

Each Member of this organization other than Guest Members shall have one (1) vote on each matter submitted to a vote by the Members. Voting at duly held meetings shall be by show of hands, by voice vote, or by secret ballot.

SECTION 3 - TERMINATION OF MEMBERSHIP

The membership of any Member of the NWHA may be terminated as provided for in the NWHA Membership Policy.

SECTION 4 - SUSPENSION AND EXPULSION FROM MEMBERSHIP

Any Member of the NWHA may be suspended from participation in NWHA events and/or may be expelled from membership for breaches of the NWHA Safety Policy.


ARTICLE III - CORPORATE DIRECTORS AND OFFICERS

SECTION 1 - ELECTED POSITIONS

The NWHA shall have three (3) elected Corporate Directors and two (2) elected Corporate Officers who shall each be an adult Member in good standing:

a. President, who shall serve as Chairman of the Board of Directors;

b. Director, who shall serve on the Board of Directors as the Allied Representative -At-Large, who shall be a Member of an Allied Unit, and who shall be nominated by and elected only by vote of the Members of the Allied Units;

c. Director, who shall serve on the Board of Directors as the German Representative -At-Large, who shall be a Member of a German Unit, and who shall be nominated by and elected only by vote of the Members of the German Units;

d. Officer, who shall serve as Secretary of the Association; and

e. Officer, who shall serve as Treasurer of the Association.

The terms of office for each position shall be one (1) calendar year.

SECTION 2 - ELECTIONS

An annual General Election shall be conducted as provided for in the NWHA Elections Policy.



ARTICLE IV - NWHA BOARD OF DIRECTORS

SECTION 1 - COMPOSITION OF BOARD OF DIRECTORS

The NWHA Board of Directors shall be composed of:

a. The Chairman, who shall have one (1) vote;

b. The Board Representative of each Active Unit, who shall each have one (1) vote;

c. The Allied Representative-At-Large, who shall have one (1) vote;

d. The German Representative-At-Large, who shall have one (1) vote;

e. The individual Unit Commanders of each Provisional Unit, Living History Unit, and/or Associate Unit, or their designee, who shall not have a vote;

f. The Corporate Secretary, who shall not have a vote;

g. The Corporate Treasurer, who shall not have a vote; and

h. The Corporate Attorney, who shall not have a vote.

SECTION 2 - MEETINGS OF THE BOARD OF DIRECTORS

a. Regular Board Meetings may be called at any time by the Chairman or by three (3) voting Board Members. In order to efficiently conduct the business of the NWHA, a minimum of four (4) regular Board Meetings shall be held during each calendar year.

b. Ad Hoc Board Meetings may be called at any time by the Chairman or by three (3) voting Board Members.

c. All meetings of the NWHA Board of Directors shall be governed by Robert’s Rules of Order insofar as they do not conflict with the Articles of Incorporation, these Bylaws, or State law.

d. A Board Meeting shall have a quorum and be able to transact business when two-thirds (2/3) of the voting members are present.

e. Board Meetings may be called and conducted via email, conference call, netmeeting, or any other similar method not requiring physical presence of the Board Members.

f. Minutes of the Board Meetings shall be recorded, prepared, maintained, and provided to all Board Members and to other interested parties by the Secretary. The Board shall publish or cause to be published the Minutes of each Board Meeting.

SECTION 3 - AUTHORITY OF THE BOARD OF DIRECTORS

The Board of Directors of the NWHA is empowered:

a. To do or cause to be done all things necessary to conduct the affairs of the NWHA in a business-like manner;

b. To propose, to consider, and to adopt any Bylaws, Policies, and/or Procedures of the NWHA and any amendments, additions, deletions, and/or corrections thereto;

c. To appoint a qualified Member to the position of Corporate Attorney, who shall serve as an Officer of the NWHA;

d. To appoint a qualified Member to any vacant elected position;

e. To establish standing committees and/or ad hoc committees, to appoint qualified Members to those committees, and to dissolve those committees; and

f. To do or cause to be done all other things necessary to generally foster the continuing growth and well-being of the NWHA.



ARTICLE V - POLICIES OF THE NWHA

SECTION 1 - ADOPTION OF POLICIES

The Board of Directors of the NWHA shall adopt the following Policies and shall publish or cause to be published all Policies adopted, amended, or revised.

a. Membership Policy

b. Elected Positions Policy

c. Elections Policy

d. Unit Formation and Organization Policy

e. Safety Policy

f. Events Policy

g. Tactical Battles Policy

h. Vehicle Stipends Policy

i. Such additional Policies as the Board, in its discretion, deems advisable.

SECTION 2 - REVIEW OF POLICIES

All Policies shall be reviewed annually by the Board.
